These Terms of Service ("Terms") govern your access to and use of bluespruceinsurance.com (the "Site") operated by Blue Spruce Insurance Agency, LLC ("Blue Spruce," "we," "us," or "our"), together with any related services, forms, and communications, including text messages. Please read them carefully. By accessing or using the Site, requesting a quote, or opting in to receive communications from us, you agree to these Terms. If you do not agree, do not use the Site.

1. About Blue Spruce and our role

Blue Spruce Insurance Agency, LLC is a licensed insurance agency. We help you identify and obtain insurance coverage from third-party insurance companies. We are not an insurance company and do not underwrite, issue, or guarantee any policy. Insurance coverage is provided solely by the issuing insurer under the terms of the policy it issues.

2. No offer of insurance; quotes are not binding

Information on the Site, including any premium indications or quotes, is provided for general informational purposes and does not constitute an offer or a binding contract of insurance. No coverage is bound, changed, or terminated based on your use of the Site or on any form, email, or text message, unless and until a licensed representative of Blue Spruce or the applicable insurer confirms it in writing. Quotes are estimates based on the information provided and are subject to underwriting review, verification, and the insurer's final terms, conditions, and rates.

3. Accuracy of information you provide

Quotes and coverage depend on the accuracy and completeness of the information you provide. You agree to provide true, current, and complete information and to promptly update it as needed. We are not responsible for any consequence, including denial of a claim or rescission of a policy, that results from inaccurate or incomplete information.

4. Eligibility

The Site is intended for users who are at least eighteen years old and located in the United States. By using the Site, you represent that you meet these requirements.

5. Electronic communications

By providing your contact information, you consent to receive communications from us electronically, including by email and, where you opt in, by text message. You agree that electronic communications satisfy any legal requirement that a communication be in writing.

6. Mobile messaging (SMS) terms

These mobile messaging terms apply if you opt in to receive text messages from Blue Spruce.

  • Program. By providing your mobile number and opting in, you consent to receive recurring automated and manually sent text messages from Blue Spruce Insurance Agency, LLC at that number, including quote follow-ups, submission and application updates, policy and service notices, reminders, and, where you agree, informational and promotional messages.
  • Consent not required to buy. Your consent to receive text messages is not a condition of purchasing any product or service.
  • Frequency and cost. Message frequency may vary. Message and data rates may apply according to your mobile plan. We and the wireless carriers are not liable for delayed or undelivered messages.
  • Opt out. You can cancel at any time by replying STOP to any message. After you reply STOP, we will send one confirmation message and will not send further texts unless you opt in again.
  • Help. For help, reply HELP or contact us using the details in Section 15.
  • Privacy. Your mobile information and SMS opt-in and consent are handled as described in our Privacy Policy and are not shared with third parties or affiliates for marketing or promotional purposes.
  • Changes. We may change or discontinue the messaging program at any time.

7. Intellectual property

The Site and its content, including text, graphics, logos, the Blue Spruce name and marks, and the design and arrangement of the Site, are owned by or licensed to Blue Spruce and are protected by intellectual property laws. You may use the Site for your personal, noncommercial purpose of learning about and obtaining insurance. You may not copy, reproduce, modify, distribute, or create derivative works from the Site without our prior written permission.

8. Acceptable use

You agree not to use the Site to violate any law, infringe any right, transmit harmful or malicious code, attempt to gain unauthorized access to our systems, interfere with the operation of the Site, or submit false or fraudulent information.

9. Third-party links and content

The Site may contain links to websites and resources operated by third parties, including insurance carriers and partners. We provide these links for convenience and do not control or endorse, and are not responsible for, the content, products, or practices of those third parties.

10. Disclaimers

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any information on the Site is accurate, complete, or current. Some products referenced on the Site may be placed with surplus lines or non-admitted insurers, and applicable surplus lines disclosures will be provided to you in connection with any such placement.

11. Limitation of liability

To the fullest extent permitted by law, Blue Spruce and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or relating to your use of the Site, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site will not exceed one hundred dollars ($100). Nothing in these Terms limits any liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Blue Spruce and its owners, officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and share information.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and post the updated Terms on the Site. Your continued use of the Site after changes are posted means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms are the entire agreement between you and Blue Spruce regarding the Site and supersede any prior agreements on that subject.
